Terms of Use for the Compliance Software Platform HubSystem

General

Scope of Application

These terms of use govern the use of the compliance software platform HubSystem, including all associated web applications, such as TaxHub, ContractsHub, InvoiceHub, ArchiveHub and the company website. The web applications and the company website are components of the HubSystem platform.

The provider is DutyPay GmbH, Rummelstrasse 11, 67655, Kaiserslautern, Germany.

Agreement to the Terms of Use

Use of the platform requires agreement to these terms of use and to the Data protection declaration.

Supplementary Terms for Businesses

Companies that use paid services on the HubSystem platform are subject to the terms and conditions for services as well as specific single orders that are agreed separately.

Validity for all Users

These terms of use apply to all users, regardless of their location. The use of the platform is subject to the respective applicable legal regulations.

HubSystem Account

HubSystem Account as a Prerequisite

Use of the platform requires a HubSystem Account that must be linked to at least one company account.

Master Data and Responsibilities

The HubSystem Account contains master data about the user, including their permissions to use the platform. Company master data is managed in the company account.

Responsibility for Company Master Data

Legal representatives or authorized agents of a company are responsible for the correctness and completeness of the company's master data. Any changes to this data must be updated promptly in the company account.

Responsibility in Shared Use

The credentials for the HubSystem Account must be treated confidentially. A HubSystem Account can be used collectively by multiple persons, as long as this is done within the company. In any case, the responsibility for all actions carried out via a HubSystem Account lies with the respective company or its legal representatives.

Company Responsibility for Permissions

It is the company's responsibility to assign permissions to a HubSystem Account for the company account and thereby grant access to company data and actions associated with the permissions. The provider assumes no responsibility for the management and assignment of permissions within the company.

Use of the Platform for Business Purposes

Legally Permissible Use

The platform may only be used for legally permissible business purposes.

Responsibility for Submitted Data

If the platform is used for the submission of data to relevant authorities, the companies themselves are responsible for ensuring that all submitted data comply with the respective legal requirements.

The platform assists businesses in complying with tax and other regulatory requirements in many countries. The following list includes a selection of supported compliance domains.

Protection of Intellectual Property

All content of the platform, including software, source code, designs, logos, texts, images, translations, documentation and other materials, are intellectual property of the providers. They are protected worldwide by applicable copyright, trademark, and other protective rights against unauthorized use, duplication, and distribution.

Use of Content by Users

Users may only use the content of the platform within the scope of the offered functions. Uploaded or generated content on the platform remains the property of the users, whereas the provider obtains the right to process this content for the fulfillment of the offered services.

Prohibition of Unauthorized Use

Without explicit written permission, it is prohibited to:

  • Duplicate, sell, or otherwise commercially use the content, trademarks, or software of the platform.
  • Alter, remove, or reproduce logos, brand names, or other protected content of the offering party or affiliated web applications.
  • Use automated systems or software to extract content from the platform (scraping, data mining, or similar).

Liability and Warranty

Liability of the Providers

The provider is only liable for damages caused by intentional or gross negligent breaches. Liability for data loss, lost profits or indirect damages is excluded, unless mandatory statutory provisions oppose.

Liability of the Users

Users are liable for violations of these terms of use and indemnify the provider from third-party claims. The provider is not liable for fines or penalties incurred due to erroneous, late or incomplete transmission of notifications to authorities.

Free Use and Paid Services

Free Use

The use of the platform is generally free of charge. This includes access to the platform and the management of basic master data. Functions for using specific services are available upon completion of paid single orders.

Paid Services and Single Orders

Costs only arise through the commissioning or completion of single orders for specific services. The service prices and other specific agreements are regulated in the respective single orders.

Changes to the Terms of Use

DutyPay GmbH reserves the right to modify or supplement these terms of use to account for legal requirements or operational necessities. Changes will be communicated to users in text form in a timely manner. Continued use after the implementation of a change is considered consent to the modified terms.

Applicable Law and Jurisdiction

Applicable Law

These terms of use are subject to the law of the Federal Republic of Germany, excluding the UN Sales Law.

Place of Jurisdiction

For all disputes arising from or in connection with these Terms of Use, the jurisdiction is at the location of DutyPay GmbH, as far as legally permissible.

Severability Clause

Partial Invalidity

Should a provision of these Terms of Use be wholly or partially invalid or unenforceable, the effectiveness of the remaining provisions remains unaffected. In place of the invalid or unenforceable provision, a provision will come into effect that comes as close as possible to the economic purpose of the original provision.

Final Provisions

Contractual Agreements

These Terms of Use constitute the fundamental agreement between the parties with respect to the use of the HubSystem platform. No ancillary agreements or oral assurances exist. These Terms of Use regulate the general use of the HubSystem. In addition, additional terms and conditions for services and respective single orders, which are individually agreed upon between the users and the DutyPay GmbH, apply to fee-based services. In case of contradictions between these Terms of Use and the terms and conditions for services or single orders, the specific regulations in the terms and conditions for services or the respective single order take precedence, as far as they concern the pay-based usage. Changes or additions to these Terms of Use require text form. This also applies to the amendment of this text form clause.

Transfer of Rights

DutyPay GmbH may transfer its rights and obligations under these terms of use to affiliated companies. Users may only transfer their rights and obligations under these terms of use with the prior written consent of DutyPay GmbH.

No Waiver

The failure to enforce a provision of these Terms of Use by DutyPay GmbH does not constitute a waiver of the respective right.
